Member Terms and Conditions

These Member Terms govern your registration, identity verification, deposits and use of the real-time Copart bidding and import-support services provided by Premium Auto Bid, a trading brand of Premium Logistics SHPK (Albania). Read them carefully: by registering and submitting bids you accept a binding agreement.

1. Introduction, Operator and Scope

These Member Terms and Conditions (the "Member Terms" or "Terms") form a binding legal agreement between you (the "Member", "you" or "your") and Premium Logistics SHPK, a limited liability company (shoqëri me përgjegjësi të kufizuar) organised under the laws of the Republic of Albania, trading under the brand name "Premium Auto Bid" ("Premium Auto Bid", "we", "us" or "our"). They govern your access to and use of the Premium Auto Bid website at premlogistics.com and all related vehicle sourcing, real-time bidding, purchase-coordination and import-support services (together, the "Services").

Premium Logistics SHPK is registered with the National Business Center (Qendra Kombëtare e Biznesit, QKB) of the Republic of Albania under unique identification number (NUIS/NIPT) M53004202C, with its registered office at Rruga "Dubai", Lagjia nr. 2, cadastral zone 2066, property no. 89/38, 4-storey building, 2nd floor, Entrance 1, Kamëz, Tirana, Albania.

Effective date: 4 June 2026. Last updated: 4 June 2026. These Member Terms apply from the effective date and replace any prior version. We may update them from time to time as described in the section "Amendments to these Terms".

The Services are intended for customers located in Albania, Kosovo, North Macedonia and Montenegro. Premium Auto Bid is an independent vehicle sourcing, bidding and import-support platform. It helps Members discover Copart auction vehicles, place bids on Copart in real time through the Copart API after identity verification and deposit approval, and coordinate purchase, transport, customs and import support.

Premium Auto Bid is not owned by, operated by, affiliated with, endorsed by or sponsored by Copart, Inc. We are an independent intermediary. We hold Copart API access and place customer bids on Copart in real time through the Copart API once a Member has completed verification, accepted these Terms and has an approved Deposit. References to Copart describe the third-party auction source from which vehicles may be sourced and do not imply any partnership. Copart and the Copart logo are trademarks of Copart, Inc.

Any vehicle inventory currently displayed on the website is clearly labelled demonstration or sample data, provided for illustration only. It does not represent real Copart lots, is not verified, and is not available for bidding or purchase. No lot, price, image or specification shown as demonstration data should be relied upon.

2. Definitions

In these Member Terms, the following capitalised words have the meanings set out below:

  • "Account" means the registered Member account through which you access the Services.
  • "Auction Source" means the independent third-party vehicle auction operator from which a vehicle may be sourced, which for the Services is Copart, Inc.
  • "Bid Request" means a bid you submit through the Services for a specified vehicle, up to a stated maximum bid, which Premium Auto Bid transmits to the relevant Copart auction in real time through the Copart API.
  • "Maximum Bid" or "Max-Bid Authorisation" means the highest amount (exclusive of fees, premiums, taxes and other charges unless expressly stated) that you authorise Premium Auto Bid to bid for a vehicle on your behalf.
  • "Deposit" means a sum you pay to Premium Auto Bid before or in connection with bidding, held as security and applied as described in these Terms and the Deposit and Refund Policy.
  • "KYC" means the identity-verification and customer due-diligence checks we are required to perform before you may bid.
  • "Operator" means the Premium Auto Bid staff member who confirms incoming payments, including Deposits and balances, before they are treated as received.
  • "Purchase Price" means the final hammer price payable for a won vehicle, together with all applicable fees, premiums, taxes and charges.
  • "AS-IS" means sold in its existing condition, with all faults, whether or not apparent, and without any warranty.

3. Member Eligibility

To register and use the Services you must meet all of the following eligibility requirements. By registering you represent and warrant that each is true and will remain true for as long as you use the Services.

  • You are a natural person at least 18 years of age, or a duly constituted legal entity acting through an authorised representative.
  • You have full legal capacity to enter into a binding contract under the law applicable to you.
  • You are resident in, or otherwise lawfully connected to, one of the markets we serve: Albania, Kosovo, North Macedonia or Montenegro.
  • You are not a person or entity subject to United Nations, European Union or United States (OFAC) sanctions, and you are not located in or acting on behalf of any comprehensively sanctioned jurisdiction or person.
  • You will use the Services only for lawful purposes and in compliance with all applicable laws, including those concerning the prevention of money laundering, the financing of terrorism, sanctions, anti-corruption and the import of vehicles.
  • The funds you use in connection with the Services derive from legitimate sources and are not the proceeds of any unlawful activity.

We may decline to register, or may suspend or close, any Account where we reasonably believe an eligibility requirement is not met. Providing false eligibility information is a material breach of these Terms.

4. Registration, Identity Verification (KYC) and Acceptance

4.1 Account registration is required

You must create and maintain a registered Account to bid or use any related Service. You must provide accurate, current and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly at support@premlogistics.com of any suspected unauthorised use.

4.2 Identity verification (KYC) is required

Before you may bid, you must complete our identity-verification and customer due-diligence (KYC) process. We carry out these checks to comply with Albanian Law no. 9917 dated 19.05.2008 "On the Prevention of Money Laundering and Financing of Terrorism" (as amended), applicable FATF recommendations, and our internal compliance controls. We may ask you to provide government-issued identification, proof of address, information on the source of your funds, and any further information or documentation we reasonably require, and to refresh that information periodically.

Personal data collected during KYC is processed in accordance with our Privacy Policy and Albanian Law no. 9887 dated 10.03.2008 "On the Protection of Personal Data" (as amended) and, where applicable, the EU General Data Protection Regulation (GDPR). 4.3 Acceptance of these Terms

You accept these Member Terms when you register an Account, tick the acceptance box, or submit a Bid Request, whichever occurs first. Where required, we may ask you to re-confirm acceptance before specific actions, such as submitting a Bid Request or authorising a Maximum Bid. If you do not agree to these Terms, you must not register for or use the Services.

You may not bid until (a) your Account is registered, (b) your identity is verified through our KYC process, (c) you have accepted these Member Terms, and (d) any required Deposit has been confirmed by our Operator. Once these prerequisites are met, the bids you submit are transmitted to the relevant Copart auction in real time through the Copart API; no person at Premium Auto Bid places bids on your behalf.

5. The Real-Time Copart Bidding Model

Premium Auto Bid places customer bids on Copart in real time through the Copart API. Once you have completed verification, accepted these Terms and have an approved Deposit, the bids you submit through the Services are transmitted to the relevant Copart auction in real time. No person at Premium Auto Bid places bids on your behalf.

5.1 How a Bid Request works

  1. You identify a vehicle and submit a Bid Request through the Services, stating your Maximum Bid (the Max-Bid Authorisation).
  2. The Services check that your KYC is complete, your Deposit is approved and you have accepted these Terms; bidding is only available once these prerequisites are met.
  3. Your bid is transmitted to the relevant Copart auction in real time through the Copart API, up to but not exceeding your Maximum Bid.
  4. We confirm the outcome to you. Auctions are competitive and time-sensitive, and we cannot guarantee that any Bid Request will succeed.
  5. If the vehicle is won, you become responsible for the Purchase Price and all related charges as set out in these Terms.

5.2 Max-Bid Authorisation

When you submit a Maximum Bid you authorise Premium Auto Bid to transmit one or more bids to Copart in real time, up to that amount, through the Copart API. The Maximum Bid is the bid ceiling only; it does not include buyer premiums, auction fees, our service fees, transport, customs duties, taxes, storage or other charges, which are additional and payable by you unless we expressly state otherwise in writing. You must ensure your Maximum Bid reflects an amount you are willing and able to pay together with all such additional charges.

Once submitted, a Bid Request and its Max-Bid Authorisation may be binding. If a bid transmitted within your authorisation is successful, you are committed to completing the purchase and paying the Purchase Price and all related charges. Bids submitted at an Auction Source generally cannot be retracted, and you may be liable to the Auction Source and to us for the consequences of a winning bid, including relist, cancellation and default charges.

We may block or suspend your ability to bid, or may require further information before restoring it, at our discretion, including where bidding raises compliance, fraud, credit or operational concerns. Blocking or suspending bidding does not create any liability for us.

6. Deposits and Payments

6.1 Deposits may be required

We may require you to pay a Deposit before you may bid. The standard Deposit is USD 750. For vehicles with an expected value over USD 7,500, the Deposit is 10% of that value. Deposits are denominated and accounted for in United States dollars (USD). We may vary Deposit requirements where reasonably necessary for risk, compliance or operational reasons, and we will tell you the applicable Deposit before you commit.

6.2 A Deposit is not the final purchase payment

A Deposit is security and a sign of good faith. It is NOT the final purchase payment for any vehicle and does not by itself complete any purchase, unless we expressly state in writing that a specific Deposit is being applied toward a specific Purchase Price. Unless and until we make that express application, the Purchase Price and all related charges remain payable separately and in full.

6.3 How payments are made and confirmed

All inbound payments are operator-confirmed. We accept bank transfer in USD or EUR, or cash in Albanian lek (ALL) at our Tirana office. You must upload proof of payment through the Services, and an Operator verifies the payment independently before it is treated as received. No third-party card processors operate for this payment flow in Albania. Where a payment is made in a currency other than USD, it is converted to USD for accounting using a recognised daily reference rate; you bear any currency conversion difference and associated bank charges.

Refunds, holds and the treatment of Deposits on default are governed by these Terms together with our Deposit and Refund Policy, which is incorporated by reference. Where these Terms and that policy address the same matter, read them together; the Deposit and Refund Policy governs the operational detail of refunds and holds.

7. Fees, Charges and Your Financial Responsibility

You are responsible for the full cost of acquiring and importing any vehicle you ask us to pursue. In addition to the hammer price of a won vehicle, you are responsible for all applicable fees and charges, including but not limited to the following:

  • Auction fees, gate fees and other charges imposed by the Auction Source.
  • Buyer premiums and any internet, virtual or proxy bidding fees.
  • Our service and bidding fees, as notified to you.
  • Transport and shipping costs, including inland transport, ocean freight and handling.
  • Customs duties, import duties, value-added tax (VAT) and any other taxes or governmental charges in the destination country.
  • Storage, demurrage and detention charges, including where storage arises from delay in payment or collection.
  • Late-payment charges and interest imposed by the Auction Source or by us.
  • Relist fees, cancellation fees and charges arising where a purchase is not completed.
  • Documentation, title, registration and administrative costs, including translation and notarisation where required.
  • Any third-party charges, bank fees or currency conversion costs associated with your payments.

Many of these charges are set by the Auction Source or by third parties and are outside our control. Estimates we provide are indicative only and are not binding quotations. The amounts ultimately payable may differ from any estimate, and you remain responsible for the actual amounts charged.

8. Vehicles Sold AS-IS; No Guarantee of Condition or History

Vehicles offered at the Auction Source are sold AS-IS, where-is, with all faults and without any warranty of any kind. Premium Auto Bid is an intermediary that assists you in acquiring such vehicles; we are not the seller and we do not own the vehicles. Many auction vehicles are salvage, damaged, non-running, or have branded, missing or foreign titles.

Premium Auto Bid does not guarantee and expressly disclaims any guarantee as to a vehicle's condition, mechanical or structural state, title or title brand, mileage or odometer accuracy, the nature or extent of damage, prior history, the accuracy or completeness of any description, photographs or VIN-based report, availability, the outcome of any auction, or any shipping, customs or import timeline. The word "guarantee" is used in these Terms only to disclaim guarantees.

Information shown about a vehicle, including descriptions, condition codes, images, odometer readings and history reports, originates from the Auction Source or third parties. We pass it on for convenience and do not independently verify it unless we expressly say so in writing. You are responsible for satisfying yourself about a vehicle before submitting a Bid Request, including by reviewing all available information and obtaining any independent inspection or report you consider necessary.

You acknowledge that estimated transport, customs and import timelines depend on carriers, ports, customs authorities and other third parties, and that delays, additional inspections, duties and costs may arise. We do not guarantee any delivery date or clearance outcome.

9. Compliance, Suspension, Default and Consequences

9.1 Compliance, refusal and account closure

We are subject to legal obligations concerning the prevention of money laundering and the financing of terrorism, sanctions and anti-corruption, and we maintain internal controls to meet them. You must cooperate with our compliance processes, including KYC and source-of-funds checks, and must not use the Services to facilitate any unlawful activity.

We may, acting reasonably, refuse to provide the Services, decline or pause any Bid Request, withhold release of a vehicle, or suspend or close your Account, with or without prior notice where the circumstances require, including where:

  • we suspect fraud, misrepresentation, or unauthorised use of your Account or of any payment method;
  • we are unable to complete or verify KYC, or you fail to provide information we reasonably request;
  • a transaction or party presents a sanctions, money-laundering, terrorist-financing, corruption or other compliance risk;
  • you breach these Terms or any policy incorporated by reference, including by non-payment or default;
  • we are required to do so by law, by a competent authority, or by the Auction Source; or
  • continuing to provide the Services would expose us to legal, regulatory, reputational or financial risk.

Where lawful and appropriate, we report suspicious activity to the General Directorate for the Prevention of Money Laundering (the Albanian Financial Intelligence Unit) and to other competent authorities, and we may be prohibited by law from informing you that a report has been made. Sanctions screening is conducted against UN, EU and US (OFAC) frameworks. We apply anti-corruption standards consistent with the Albanian Criminal Code and, for international dealings, principles drawn from the US Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. Suspension or closure of your Account does not relieve you of obligations accrued before that suspension or closure, including payment obligations.

9.2 Default, non-payment and consequences

You are in default if you fail to pay any amount when due, fail to complete a purchase resulting from a winning bid placed within your authorisation, provide false information, or otherwise materially breach these Terms. Auction purchases are time-sensitive, and delay or non-payment can generate substantial third-party charges for which you are responsible.

Where you are in default, we may, to the extent permitted by law and acting proportionately, take one or more of the following steps:

  • apply, set off or retain all or part of your Deposit against amounts you owe, including third-party charges incurred because of your default, as further described in the Deposit and Refund Policy;
  • decline to release, or arrange the storage of, any vehicle until all amounts due are paid in full, with storage charges payable by you;
  • suspend or refuse further Bid Requests and suspend or close your Account;
  • recover from you any relist, cancellation, late-payment, storage and default charges imposed by the Auction Source, together with our reasonable costs;
  • charge interest on overdue amounts at a reasonable rate from the due date until payment; and
  • take steps to recover unpaid amounts, including through the competent courts of Tirana.

Exercising any of these remedies does not limit any other right or remedy available to us at law. Amounts retained or applied against your liabilities are not refundable to the extent they cover sums you actually owe.

10. Communications and Notices

You agree that we may communicate with you electronically, including through the Services, by email and by other electronic means, and that electronic communications satisfy any legal requirement that a communication be in writing. We will use the contact details associated with your Account, so you must keep them accurate and current.

Operational notices, including confirmations of Bid Requests, deposit confirmations, outcome notifications and requests for information, are an essential part of the Services and are not marketing. You may not opt out of operational communications while you hold an Account or have an open transaction. Notices to us under these Terms should be sent to support@premlogistics.com for operational matters and to legal@premlogistics.com for legal notices.

A notice sent by email is deemed received on the day it is sent unless sent outside business hours, in which case it is deemed received on the next business day, absent evidence of non-delivery.

11. Complaints, Disputes and Liability

If you are dissatisfied with any aspect of the Services, please first contact us at support@premlogistics.com so that we can try to resolve the matter informally. Complaints and formal dispute-handling are addressed in our Complaints and Dispute Resolution Policy, which is incorporated by reference; please refer to it for the applicable process and timelines.

To the fullest extent permitted by applicable law, we are not liable for the acts, omissions, decisions, descriptions, errors or charges of the Auction Source or other third parties, for the condition, title, history or performance of any vehicle, for the outcome of any auction, or for delays in transport, customs or import. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.

Subject to the preceding paragraph, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, opportunity or anticipated savings. These Terms do not affect any mandatory rights you have under applicable consumer-protection law.

12. Amendments to these Terms

We may amend these Member Terms from time to time, for example to reflect changes in our Services, our compliance obligations, the requirements of the Auction Source, or applicable law. When we make a material change, we will update the "Last updated" date and, where appropriate, notify you through the Services or by email.

Changes apply prospectively from the date they take effect. Your continued use of the Services, or your submission of a new Bid Request, after a change takes effect constitutes acceptance of the amended Terms. The version in force at the time a Bid Request is accepted governs that Bid Request. If you do not accept an amendment, you must stop using the Services, subject to settling any open obligations.

13. Governing Law and Jurisdiction

These Member Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the Republic of Albania.

The competent courts of Tirana, Republic of Albania, have jurisdiction to settle any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer-protection rules that may grant you the right to bring proceedings in your country of residence, and without prejudice to any alternative dispute-resolution process described in our Complaints and Dispute Resolution Policy.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced, so far as possible, by a valid provision that best reflects its original intent.
